Notice of change of shareholder of Synthesia, a.s.

 
Dear Business Partners,

We would like to hereby inform you that on the 1^st of February 2024, the Contract for the sale of share in Synthesia, a.s. between the seller AGROFERT, a.s. and the buyer KAPRAIN Group. Subsequently, on the same day, a single share of Synthesia, a.s. was transferred on KAPRAIN Group. By transferring a single share, KAPRAIN Group became a new single shareholder of Synthesia, a.s. With this step, there was a change in the ownership structure of Synthesia, a.s.

The new sole shareholder decided on a change in the company's Board of directors on February 1, 2024. Mr. Jan Kadaník was elected as a new Chairman of the Board of directors, Mr. Daniel Tamchyna was elected as a new Vice-chairman of the Board and Mr. Jaromír Florián became a new Member of the Board of directors. Mr. Josef Liška remained in the position of Vice-chairman of the Board of directors.

As of February 1, 2024, there was change in the composition of the company's Supervisory board as well. Mr. Jaromír Štantejský became new Chairman of the Supervisory board and Mr. Michal Adamovský became new Member of the Supervisory board. Member of the supervisory Board elected by the employees Mr. Petr Mako remained in his position.
